Welcome to Capital Lynk. These Terms of Service govern your access to and use of the Capital Lynk website, mobile experiences, digital application flows, and related online services, including financing marketplace services, lender matching tools, verification workflows, and related products and features (collectively, the “Services”).

In these Terms of Service, “Capital Lynk,” “we,” “our,” and “us” refer to Capital Lynk and its affiliates. “You” and “your” refer to any visitor, applicant, customer, user, or business representative who accesses or uses the Services.

These Terms of Service form a binding legal agreement between you and Capital Lynk. By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy. If you do not agree, do not access or use the Services.

By using the Services, you also agree that Capital Lynk may provide records, notices, disclosures, signatures, consents, and certain communications electronically, including by email, SMS where permitted and consented to, in-app notice, electronic signature, and digital payment flow where applicable.

Additional terms, consents, disclosures, or provider-specific agreements may be presented to you in connection with certain Services. If there is a conflict between these Terms of Service and specific supplemental terms presented for a particular Service, the supplemental terms will govern for that Service to the extent of the conflict.

1. Eligibility

You may use the Services only in compliance with these Terms of Service and all applicable municipal, provincial, state, federal, national, and international laws, rules, and regulations.

By accessing or using the Services, you represent and warrant that:

  • you are at least the age of majority in your jurisdiction and in no event younger than 18 years old;

  • you have the legal capacity and authority to enter into binding agreements;

  • all information you submit is true, accurate, current, and complete; and

  • if you are acting on behalf of a business or other organization, you are authorized to act for and bind that entity.

Use of the Services by anyone under 18 is strictly prohibited. We may suspend or terminate access to the Services if we reasonably believe that a user is underage or otherwise ineligible.

Capital Lynk is committed to fair treatment and compliance with applicable anti-discrimination laws. We do not knowingly use the Services to facilitate unlawful discrimination, and we expect financing providers and service partners connected to the Services to comply with applicable fair lending, anti-discrimination, accessibility, and consumer protection laws.

2. Nature of Capital Lynk’s Services

Capital Lynk is a technology-enabled financing marketplace and workflow platform. Unless expressly stated otherwise for a specific product, service, or jurisdiction, Capital Lynk is not a bank, lender, credit grantor, insurer, broker-dealer, or financial institution.

Capital Lynk may help individuals and businesses explore financing options by collecting application information, facilitating identity and financial verification, organizing workflow steps, and transmitting information to third-party lenders, funders, brokers, insurers, payment processors, and other financial service providers.

Unless expressly stated otherwise:

  • Capital Lynk does not make lending or underwriting decisions;

  • Capital Lynk does not guarantee approval, funding, pricing, rates, fees, terms, or availability;

  • all lending, insurance, and similar product decisions are made solely by third-party providers; and

  • any offer you receive is subject to the relevant provider’s own review, criteria, documentation, and contractual terms.

Some parts of the Services may involve third-party technologies and partners, including identity verification, banking connectivity, credit checks, income verification, fraud screening, analytics, payments, communications, and workflow tools.

If Capital Lynk or one of its affiliates is ever acting as a direct service provider for a particular Service, that role will be expressly disclosed in connection with that Service.

3. Accounts and Application Information

You may be required to create an account or submit information through our application flows to access certain Services.

You are solely responsible for:

  • maintaining the confidentiality of your login credentials;

  • all activity conducted through your account;

  • keeping your information accurate and up to date; and

  • promptly notifying us of any unauthorized access, misuse, or suspected security incident involving your account.

You agree not to:

  • create an account using false or misleading information;

  • impersonate another person or entity;

  • use another user’s account without authorization; or

  • submit forged, inaccurate, incomplete, or misleading documents, data, or credentials.

Capital Lynk is not responsible for losses arising from your failure to safeguard your credentials or maintain accurate information.

4. Acceptable Use and Restrictions

You agree to use the Services only for lawful purposes and only as permitted by these Terms of Service.

You must not:

  • copy, reproduce, distribute, republish, scrape, harvest, or exploit any portion of the Services except as expressly permitted;

  • use bots, spiders, crawlers, or automated systems to access or interact with the Services, except legitimate indexing by public search engines where permitted;

  • submit false, misleading, fraudulent, or incomplete information;

  • transmit spam, chain letters, or unsolicited communications through the Services;

  • upload or transmit malware, viruses, worms, destructive code, or other harmful material;

  • interfere with, compromise, reverse engineer, or gain unauthorized access to the Services or related systems, except to the limited extent any restriction is prohibited by applicable law;

  • collect or harvest personal information of other users without lawful authority;

  • use the Services for unlawful commercial solicitation;

  • misrepresent your identity, affiliation, authority, or intent;

  • bypass or circumvent any security or access controls used by Capital Lynk; or

  • use the Services in a manner that imposes an unreasonable or disproportionate load on our systems.

We may suspend, restrict, or terminate access to the Services if we reasonably believe you have violated these Terms of Service, created legal or security risk, engaged in fraud or misuse, or otherwise harmed the Services, users, or partners.

5. Availability and Geographic Limitations

The Services may not be available in all jurisdictions. Certain products, services, financing programs, and features may only be available in specific provinces, states, or regions and may be subject to local restrictions.

You understand that:

  • availability may vary by location, product type, and provider;

  • laws and regulations differ across Canada, the United States, and other jurisdictions; and

  • some Services may be limited, delayed, modified, or unavailable depending on regulatory, operational, or business requirements.

Users who access the Services from outside Canada or the United States do so at their own initiative and are responsible for complying with applicable local laws.

6. Privacy and Communications

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, disclose, retain, and otherwise process personal information.

By providing your contact information, you agree that Capital Lynk and its service providers may contact you, where permitted by law and in accordance with your applicable consents, regarding:

  • your account;

  • your application or request;

  • identity, fraud, or verification steps;

  • product or service updates relevant to your use of the Services;

  • operational or administrative notices;

  • security alerts; and

  • other transactional or relationship messages.

Where required by law, Capital Lynk will obtain your consent before sending marketing or promotional communications. Marketing emails and similar commercial electronic messages will include applicable identification and unsubscribe mechanisms where required by law. Opting out of marketing communications does not prevent us from sending transactional, service, legal, fraud-prevention, or security-related messages.

If you provide a mobile phone number, you agree to receive SMS or similar messages related to your account, application, verification steps, security, and other transactional matters where permitted and, where required, consented to. Message and data rates may apply. Message frequency may vary. You may opt out of non-mandatory SMS communications as described in the message or by contacting us, but certain account, fraud, or service communications may still be sent where legally permitted and operationally necessary.

7. Verification, Credit, and Third-Party Data Access

To provide the Services, Capital Lynk or its technology, data, communications, and financial partners may request access to or verification of information such as:

  • identity records;

  • government-issued identification;

  • biometric verification where available and separately consented to where required;

  • employment or income data;

  • banking information and transaction data;

  • business information;

  • credit reports or credit-related information where applicable and authorized;

  • fraud, sanctions, AML, KYC, or compliance screening results; and

  • other information reasonably necessary to process your request, deliver the Services, prevent fraud, or comply with legal obligations.

By using the Services and submitting information, you authorize Capital Lynk and applicable service providers and financing partners to collect, review, verify, use, store, and share such information as reasonably necessary to:

  • process your application or request;

  • evaluate eligibility;

  • detect and prevent fraud;

  • comply with legal and regulatory obligations; and

  • provide and improve the Services.

Additional standalone consents or disclosures may be presented to you for specific products, hard credit inquiries, identity verification, banking connectivity, e-signature, or other workflow steps. Those additional consents will apply in addition to these Terms of Service.

Capital Lynk does not guarantee that any third-party verification, connectivity, or data source will be available, uninterrupted, or accepted by any provider.

8. Financing Applications and Third-Party Offers

When you submit an application or request through Capital Lynk, your information may be transmitted to one or more third-party providers for evaluation.

You acknowledge and agree that:

  • different providers may use different eligibility and underwriting criteria;

  • offers, rates, fees, and terms may vary significantly;

  • additional documents, verifications, interviews, or consents may be required;

  • a provider may decline your application even after preliminary review; and

  • Capital Lynk is not responsible for the terms, conditions, servicing, conduct, or decisions of any third-party provider.

Any contract for financing, insurance, payments, or related services is strictly between you and the relevant third-party provider unless expressly stated otherwise.

9. Electronic Records and Signatures

By using the Services, you consent to receive records, notices, disclosures, and other communications electronically and to use electronic signatures where legally valid.

You agree that electronic records, notices, disclosures, signatures, and confirmations may satisfy any legal requirement that such communications be in writing, subject to applicable law.

It is your responsibility to maintain access to a valid email address, internet connection, and compatible device to receive and retain electronic records. Where required by law, we will provide records in a manner that allows you to retain and print them.

10. Mobile Access

You may access portions of the Services through a mobile browser, app, or mobile-enabled workflow.

Subject to these Terms of Service, Capital Lynk grants you a limited, non-exclusive, non-transferable, revocable license to use mobile-accessible components of the Services solely for your personal or internal business use.

You may not:

  • modify, reverse engineer, decompile, or disassemble any mobile software except to the extent such restriction is prohibited by law;

  • rent, lease, sublicense, resell, or redistribute any mobile software;

  • remove copyright, trademark, or proprietary notices; or

  • interfere with or disable security-related features.

Capital Lynk may update, modify, suspend, or discontinue mobile features at any time.

11. Intellectual Property and Proprietary Rights

The Services, including all software, workflows, designs, content, graphics, logos, text, images, audio, video, code, interfaces, and other materials made available through the Services, are owned by Capital Lynk, its licensors, or its service providers and are protected by intellectual property and other laws.

Except as expressly permitted in these Terms of Service, you may not:

  • copy, reproduce, distribute, republish, download, display, post, transmit, modify, adapt, license, sell, or create derivative works from the Services or related content; or

  • use Capital Lynk trademarks, logos, or branding without prior written permission.

All rights not expressly granted are reserved.

12. User Content and Feedback

You may submit information, content, documents, communications, suggestions, reviews, comments, or other materials through the Services (“User Content”).

You remain responsible for your User Content and represent that you have all rights, permissions, and authority necessary to submit it.

By submitting User Content, you grant Capital Lynk a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, use, reproduce, store, process, adapt, display, transmit, and distribute that User Content solely as reasonably necessary to:

  • operate, provide, support, secure, and improve the Services;

  • comply with legal or regulatory obligations;

  • enforce these Terms of Service; and

  • support your interactions with third-party providers.

If you provide suggestions, ideas, or feedback regarding the Services, you agree that Capital Lynk may use them without restriction or compensation to you.

13. Third-Party Websites, Tools, and Services

The Services may contain links to or integrations with third-party websites, products, services, and technologies.

Capital Lynk does not control and is not responsible for:

  • third-party content;

  • third-party websites, products, or services;

  • the terms, policies, or practices of third parties;

  • financing providers’ offers, servicing, or conduct; or

  • third-party identity, banking, credit, fraud, analytics, advertising, communications, or payment technologies.

Your interactions with third parties are governed by their own terms and policies.

14. No Financial, Legal, or Tax Advice

The Services and all content made available through them are for general informational purposes only.

Capital Lynk does not provide legal, tax, accounting, investment, or personalized financial advice. You should consult your own professional advisors before making financial, legal, tax, credit, or business decisions.

15. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise.

Capital Lynk disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and reliability.

Without limiting the foregoing, Capital Lynk does not warrant that:

  • the Services will be uninterrupted, secure, timely, or error-free;

  • defects will be corrected;

  • any application will be approved or funded;

  • any specific rates, costs, or terms will be available; or

  • the Services are free of viruses or other harmful components.

Any information or content obtained through the Services is used at your own risk.

Nothing in these Terms of Service excludes any warranty or legal guarantee that cannot be excluded under applicable law.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Capital Lynk and its affiliates, officers, directors, employees, contractors, licensors, service providers, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including damages for lost profits, lost revenue, lost business opportunities, lost data, goodwill, or other intangible losses arising out of or relating to:

  • your access to or use of, or inability to access or use, the Services;

  • third-party financing decisions;

  • delays, denials, withdrawals, or changes in offers;

  • unauthorized access to or alteration of your information, except as otherwise required by law;

  • service interruptions, bugs, malware, or third-party system failures; or

  • acts or omissions of third-party providers.

To the fullest extent permitted by applicable law, Capital Lynk’s aggregate liability for all claims arising out of or relating to the Services or these Terms of Service will not exceed the greater of:

  • CAD $100; or

  • the amount you paid directly to Capital Lynk, if any, for the specific Service giving rise to the claim during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms of Service limits liability to the extent such limitation is prohibited by applicable law.

17. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Capital Lynk and its affiliates, officers, directors, employees, contractors, service providers, licensors, and partners from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your misuse of the Services;

  • your User Content;

  • your violation of these Terms of Service;

  • your violation of applicable law;

  • your infringement of third-party rights; or

  • fraudulent, misleading, or materially inaccurate information submitted by you.

This section applies only to the extent permitted by applicable law.

18. Suspension and Termination

Capital Lynk may suspend, limit, or terminate your access to all or part of the Services if we reasonably believe it is necessary because of suspected fraud, misuse, legal risk, security concerns, operational issues, or violation of these Terms of Service.

You may stop using the Services at any time.

Any provisions that by their nature should survive suspension or termination will survive, including those relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

19. Governing Law

These Terms of Service and any dispute arising out of or relating to them or the Services will be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Nothing in these Terms of Service limits any mandatory consumer protection or other rights you may have under laws that apply to you and cannot legally be waived.

20. Dispute Resolution

Before starting formal legal proceedings, you agree to contact Capital Lynk first and attempt to resolve the dispute informally by emailing support@capitallynk.com with a description of the issue.

If a dispute cannot be resolved informally within 60 days, either party may pursue the matter in the courts of competent jurisdiction in the Province of Quebec, unless applicable law requires a different forum or gives you a non-waivable right to proceed elsewhere.

Nothing in these Terms of Service requires a consumer to submit a dispute to arbitration or prevents a consumer from exercising rights available under applicable law.

21. Changes to the Services and Terms

Capital Lynk may modify, suspend, or discontinue all or part of the Services at any time, subject to applicable law.

Capital Lynk may also amend these Terms of Service from time to time. For users to whom Quebec consumer protection law applies, any unilateral amendment will apply only to the extent permitted by applicable law. Without limiting the foregoing, material amendments that increase your obligations or reduce our obligations will not apply unless the amendment clause and notice process used are valid under applicable law, and where required you will be given advance notice and any applicable right to refuse the amendment or cancel the affected Service.

For all other users, changes to these Terms of Service will become effective on the date stated in the updated Terms or notice. Where legally required or where we consider it appropriate, we will provide advance notice by posting on the website, by email, through the Services, or by other reasonable means. Continued use of the Services after the effective date of updated Terms means you accept the updated Terms, except to the extent applicable law requires a different method of acceptance.

No amendment will apply retroactively unless required by law or expressly agreed.

22. Notices

Capital Lynk may provide notices to you by:

  • posting on the website or within the Services;

  • sending emails to the address associated with your account;

  • sending SMS or other electronic messages where permitted; or

  • other reasonable means.

You are responsible for keeping your contact information current.

23. Distance Contract and Consumer Law Disclosures

If applicable law treats your transaction with Capital Lynk as a distance contract or consumer contract, additional rights and disclosures may apply. Capital Lynk intends to present key information before you complete a transaction, provide you with an opportunity to review and correct errors before submission, and provide a copy or confirmation of the applicable contract or transaction record in a format that you can retain, subject to applicable law and the nature of the Service.

Nothing in these Terms of Service limits rights that cannot be waived under applicable consumer protection law.

24. Severability

If any provision of these Terms of Service is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

25. No Waiver; Assignment

No waiver by Capital Lynk of any term or right under these Terms of Service will be deemed a further or continuing waiver of that term or right.

You may not assign or transfer these Terms of Service or any rights under them without Capital Lynk’s prior written consent.

Capital Lynk may assign these Terms of Service without restriction in connection with a reorganization, merger, acquisition, sale of assets, financing, or similar transaction.

26. Entire Agreement

These Terms of Service, together with our Privacy Policy and any additional terms, disclosures, consents, or provider-specific agreements presented to you through the Services, constitute the entire agreement between you and Capital Lynk regarding the Services and supersede prior discussions or understandings on the same subject matter.
